Position Overview:
We are in need of an individual who has experience with software intellectual property inside a corporate legal department. The Contracts Administrator will prepare software licensing agreements for customers and consulting services agreements. They will prepare order documents for customers, making modifications as required by business teams. The Contracts Administrator will review exceptions and modifications to software agreements. Negotiate terms with customers, support Sales to resolve issues while protecting the companies interests. The Administrator will also provide assistance to members of the Legal department and others as needed.

Responsibilities:

  • Draft, review and negotiate all types of agreements (e.g., purchase, sales, service, subcontract, software, procurement, non-disclosure, etc.) for assigned client(s) both internal and external;
  • Review defined contract terms (i.e. limitation of liability, indemnity, patent indemnity, warranty, etc) and revise accordingly consistent with Company policies and procedures;
  • Support sales/business teams on opportunities, including support of the   RFP process and those contract terms requiring approval;
  • Provide contract review coordination across businesses (e.g. product,  services, etc) in support of clients, as assigned;
  • Provide backup support to others in department as needed;
  • Support special projects as assigned by department leadership;
  • Support department for contract template revisions, contract interpretation and guidance, as requested; and
  • Support Company’s contract data base and workflow process, as needed.
  • Consistently performs function in a professional and timely manner.
  • Demonstrates competent understanding of the business and Company’s policies and procedures. 
  • Independently develops contracting strategies in-line with department requirements from project start to completion.
  • Protects Company from unnecessary contract liabilities, damages, penalties, etc. 
  •  Identifies red flag risk areas and works with business team to seek appropriate approvals.
  • Provides accurate guidance to assigned business contacts, to ensure robust contract performance. 
  • Supports the establishment of new and revised policies and procedures governing the operation of the department.
  • Accurately applies Company policies and procedures to each contract project.
  • Demonstrates a solid knowledge of contracting practices and skill sets. 
  • Maintains a strong client focus both internally and externally with superior client interaction skills.

Minimum Qualifications:

  • BA/BS degree required.   
  • 4-5 years of contract administration experience in software licensing.
  • Experience with software intellectual property inside a corporate legal department.
  • Current experience working within a legal department for a corporate organization.
  • Knowledge of terminology commonly used in contract and software licensing.
  • Ability to work in a fast-paced team environment.
